Mandatory exceptions. Nothing in this notice excludes or limits Actoreon’s liability where, and to the extent that, such exclusion or limitation is prohibited by applicable mandatory law – in particular liability for fraud (“bedrog”), for intentional fault, or for damage caused to a person’s life or physical integrity. Where any limitation is held unenforceable, the remaining limitations continue to apply to the maximum extent permitted by law.

A.9 Cookies and privacy

The Website uses cookies and similar technologies. Information on the cookies used and how to manage them is set out in Actoreon’s Cookie Notice. The processing of personal data in connection with the Website is described in Part C (Privacy Notice) below.

A.10 Governing law and jurisdiction (Website)

This Part A and any dispute or claim arising out of or in connection with it (including non-contractual disputes) are governed by Belgian law. The courts competent for the registered office of Actoreon shall have exclusive jurisdiction, without prejudice to any mandatory right of a consumer to bring proceedings before the courts of his or her place of residence.

Part B – General Terms and Conditions of Business

These conditions apply to business clients (B2B). They govern all offers, quotations, orders, assignments and agreements under which Actoreon supplies advisory, consultancy, training, project or related services and any associated deliverables.

B.1 Definitions

“Actoreon” means Actoreon – Yannick De Smet BV, with registered office at Luipendaalstraat 9A, 9404 Aspelare, Belgium, enterprise number BE 0808754722.

“Client” means the natural or legal person, acting in the course of its trade, business, craft or profession, that requests a quotation from, places an order with, or enters into an Agreement with Actoreon.

“Agreement” means any agreement between Actoreon and the Client for the supply of Services, including these conditions, the accepted quotation or order confirmation, and any statement of work or engagement letter.

“Services” means the advisory, consultancy, training, assessment, project, management or other services to be supplied by Actoreon as described in the Agreement.

“Deliverables” means any report, analysis, advice, documentation, presentation, template, material or other output prepared or delivered by Actoreon under the Agreement.

“Conditions” means these General Terms and Conditions of Business.

B.2 Applicability and precedence

These Conditions apply to, and form an integral part of, every offer, quotation, order and Agreement, and to all dealings between Actoreon and the Client, unless and to the extent that the parties have expressly agreed otherwise in writing. By placing an order or signing an engagement, the Client accepts these Conditions.

Rejection of the Client’s terms. The applicability of any general or purchasing conditions of the Client is expressly excluded and rejected, even where those conditions state that they apply exclusively, and irrespective of when they are communicated. Only these Conditions apply, save where Actoreon has expressly accepted the Client’s conditions in writing.

If any provision of these Conditions conflicts with a provision of a signed engagement letter or statement of work, the latter prevails for that specific point only. The invalidity or unenforceability of any provision does not affect the validity of the remaining provisions (see clause B.21).

B.3 Quotations and offers

All quotations, offers and price indications issued by Actoreon are non-binding and given without obligation, are valid for thirty (30) calendar days from their date unless stated otherwise, and may be revised or withdrawn at any time before acceptance. Quotations are based on the information supplied by the Client; Actoreon is entitled to adjust its quotation if that information proves incomplete or inaccurate.

Quotations apply to the specific assignment described and do not automatically apply to future assignments. Composite price quotations do not oblige Actoreon to perform part of the assignment for a corresponding part of the stated price.

B.4 Formation of the Agreement

An Agreement is formed only once Actoreon has accepted the Client’s order in writing (including by email), or once Actoreon has commenced performance of the Services. Any amendment to, or addition to, the Agreement is binding only if agreed in writing by both parties. Actoreon may decline any order or assignment without being obliged to state reasons and without incurring any liability.

B.5 Nature of the obligations – obligation of means

All obligations of Actoreon are obligations of means (“inspanningsverbintenissen” / “obligations de moyens”) and not obligations of result, unless an obligation of result has been expressly agreed in writing. Actoreon will perform the Services with the reasonable care, skill and diligence to be expected of a competent professional in its field. Actoreon does not warrant that any particular outcome, result, saving, certification, approval, security level or commercial objective will be achieved.

Any advice, recommendation or Deliverable reflects Actoreon’s professional assessment on the basis of the information available and the legal and factual situation at the time. Actoreon is not responsible for decisions taken by the Client or third parties on the basis of the Services, nor for the implementation of any advice, which remains the sole responsibility of the Client.

B.6 Time for performance

Any periods or dates for performance communicated by Actoreon are indicative only and are not of the essence, unless expressly agreed in writing to be binding. Exceeding an indicative period does not entitle the Client to compensation, to suspend its own obligations, or to terminate the Agreement, nor does it place Actoreon in default. Where a binding deadline applies, Actoreon must first be given a reasonable period to remedy any delay by written notice of default.

B.7 Client cooperation and obligations

The Client shall provide Actoreon, in good time and free of charge, with all information, data, documents, access, facilities, decisions and cooperation reasonably required for the proper performance of the Services, and shall ensure their accuracy and completeness. The Client is responsible for the correctness of the information it supplies.

If the Client fails to fulfil its obligations under this clause, or if performance is delayed for reasons attributable to the Client, Actoreon may suspend performance and/or charge any resulting additional costs (including waiting time) at its applicable rates, without prejudice to its other rights. Actoreon is not liable for any loss arising from inaccurate or incomplete information supplied by the Client.

B.8 Subcontracting and personnel

Actoreon may engage subcontractors or third parties for the performance of the Services and may freely determine which persons perform the Services. Any reference to a particular individual does not constitute a guarantee that that individual will perform or remain available. The applicability of Articles 1797 of the former Civil Code and related provisions regarding subcontractors is, to the extent permitted, excluded as between the parties.

B.9 Prices, fees and expenses

Prices and fees are expressed in euro (€) and are exclusive of value added tax (VAT) and of any other taxes, levies or duties, which are borne by the Client. Unless a fixed fee has been agreed in writing, Services are charged on a time-and-materials basis at Actoreon’s applicable rates.

In addition to fees, the Client shall reimburse reasonable expenses and disbursements incurred in connection with the Services (including travel, accommodation, subsistence and third-party costs), supported where appropriate by reasonable evidence. Actoreon may require payment of an advance or interim payments before commencing or continuing the Services.

Actoreon may adjust its rates annually and may pass on increases in costs (including indexation, wage costs, supplier prices and statutory charges) arising after the date of the quotation. For Agreements of more than three (3) months’ duration, prices may be indexed in accordance with the relevant index. Manifest errors in a quotation or invoice do not bind Actoreon.

B.10 Invoicing and payment

Payment term – thirty (30) days. Unless otherwise agreed in writing, invoices are payable within thirty (30) calendar days of the invoice date, by transfer to the bank account stated on the invoice, without any discount, deduction, set-off or suspension. Payment is deemed to be made on the date the funds are credited to Actoreon’s account.

Invoices are deemed accepted unless a written, reasoned objection is received by Actoreon within eight (8) calendar days of the invoice date. An objection does not suspend the Client’s payment obligation in respect of undisputed amounts.

Consequences of late payment. If an invoice is not paid in full by its due date, then by operation of law and without prior notice of default, and without prejudice to Actoreon’s other rights and remedies, the Client shall owe:

In addition, the outstanding amount may, after a written notice of default that remains without effect for the period stated therein, be increased by fixed contractual damages of ten per cent (10%) of the outstanding amount, with a minimum of one hundred and fifty euro (€150), to cover the administrative and commercial inconvenience of non-payment. The parties acknowledge this clause and the interest clause to be reciprocal and reasonable.

Non-payment of any invoice on its due date renders all other invoices and outstanding amounts immediately due and payable, and entitles Actoreon to suspend or terminate the Services and any other agreement with the Client, without liability and without prejudice to its right to compensation.

B.11 Retention of title and risk

To the extent that any tangible goods or licensed materials are supplied, title does not pass to the Client until all amounts due to Actoreon (including interest and costs) have been paid in full. Until then, the Client shall hold such items with due care and shall not pledge, encumber or dispose of them. Risk in any Deliverable passes to the Client on delivery or first making available.

B.12 Term, suspension and termination

The Agreement applies for the duration of the assignment or for the term agreed in writing. Either party may terminate the Agreement with immediate effect, by written notice and without judicial intervention, if the other party: (i) commits a material breach that it fails to remedy within fifteen (15) calendar days of a written notice of default; or (ii) becomes insolvent, is subject to judicial reorganisation or bankruptcy, ceases or threatens to cease its business, or its financial position gives Actoreon reasonable grounds to doubt its ability to perform.

Actoreon may suspend performance, or terminate the Agreement, where the Client fails to pay, fails to cooperate, or where continued performance would expose Actoreon to a conflict of interest, a breach of law, or an unacceptable professional, security or reputational risk. On termination, all Services performed and costs incurred up to the date of termination are payable. Clauses which by their nature are intended to survive termination (including those on intellectual property, confidentiality, liability, non-solicitation and governing law) shall so survive.

B.13 Confidentiality

Each party shall keep confidential all non-public information of the other party disclosed in connection with the Agreement, shall use it only for the purposes of the Agreement, and shall protect it with at least the same degree of care as it applies to its own confidential information. This obligation does not apply to information that is or becomes public other than through breach, that was lawfully known before disclosure, that is independently developed, or that must be disclosed by law, regulation or competent authority. The confidentiality obligation survives termination for a period of five (5) years, and indefinitely in respect of trade secrets and classified information.

Where the Services concern classified, security-sensitive or regulated information, the parties shall comply with any applicable national, NATO or EU security regulations, clearance requirements and handling instructions, which prevail over this clause to the extent of any conflict.

B.14 Intellectual property in Deliverables

All intellectual property rights, know-how, methodologies, models, frameworks, templates and tools developed, used or made available by Actoreon, including any pre-existing materials and any general knowledge, skills and experience, remain the exclusive property of Actoreon. Nothing in the Agreement transfers any such rights to the Client.

Subject to full payment of all amounts due, Actoreon grants the Client a non-exclusive, non-transferable licence to use the Deliverables for the Client’s own internal business purposes and for the purpose for which they were supplied. The Client may not disclose, distribute or commercially exploit the Deliverables outside its organisation, or use them for any other purpose, without Actoreon’s prior written consent. Actoreon remains free to use the general knowledge and experience gained in performing the Services.

B.15 Non-solicitation

During the Agreement and for twelve (12) months thereafter, the Client shall not, directly or indirectly, solicit, entice away or employ (whether as employee, contractor or otherwise) any person engaged by Actoreon in the performance of the Services, without Actoreon’s prior written consent. Breach of this clause renders the Client liable to pay Actoreon fixed compensation equal to the gross annual remuneration of the person concerned, without prejudice to Actoreon’s right to claim higher actual damages.

B.16 Liability and limitation of liability

Actoreon’s liability is governed exclusively by this clause, to the fullest extent permitted by applicable law.

Mandatory limits. Nothing in these Conditions excludes or limits liability that cannot be excluded or limited under applicable mandatory law, in particular liability for fraud (“bedrog”), for intentional fault, or for damage resulting from death or physical injury caused by Actoreon. The exclusions and limitations apply only to the extent permitted by the rules on unfair terms in business-to-business relationships (Book VI of the Code of Economic Law) and other mandatory provisions; if any limitation is held excessive, it shall be reduced to the maximum permitted level rather than disapplied in full.

B.17 Indemnity

The Client shall indemnify and hold Actoreon harmless against all claims, demands, proceedings, damages, losses, costs and expenses (including reasonable legal fees) suffered or incurred by Actoreon as a result of, or in connection with, the Client’s breach of the Agreement, the Client’s instructions, the Client’s use of the Deliverables beyond the agreed scope, or the inaccuracy or incompleteness of information supplied by the Client, save to the extent caused by Actoreon’s fraud or intentional fault.

B.18 Force majeure

Actoreon is not liable for any failure or delay in performance to the extent caused by circumstances beyond its reasonable control, including (without limitation) acts of God, fire, flood, extreme weather, epidemic or pandemic, war, terrorism, civil unrest, cyber-attack, failure of telecommunications or IT systems, power or internet failure, strikes or labour disputes, shortage of personnel or materials, acts or omissions of suppliers or subcontractors, governmental measures, embargoes, and changes in law. During an event of force majeure, the affected obligations are suspended. If the event continues for more than sixty (60) calendar days, either party may terminate the affected Agreement by written notice, without liability, and Services already performed remain payable.

B.19 Complaints and acceptance

Any complaint regarding the Services or a Deliverable must be notified to Actoreon in writing, with reasons, within eight (8) calendar days of delivery or of the date on which the relevant defect was, or ought reasonably to have been, discovered. In the absence of timely complaint, the Services and Deliverables are deemed accepted. A justified complaint entitles the Client, at Actoreon’s option, to re-performance or correction of the relevant part of the Services, to the exclusion of any other remedy.

B.20 Data protection

Each party shall comply with the General Data Protection Regulation (Regulation (EU) 2016/679) and applicable Belgian data-protection law. Where Actoreon processes personal data on behalf of the Client as a processor, the parties shall enter into a data-processing agreement on Actoreon’s standard terms. Where Actoreon processes personal data as a controller (for example, contact and contract-management data), it does so in accordance with Part C (Privacy Notice).

B.21 Miscellaneous

Assignment. The Client may not assign or transfer the Agreement or any rights or obligations under it without Actoreon’s prior written consent. Actoreon may assign or transfer the Agreement to a successor in title or affiliate.

Severability. If any provision of these Conditions is held invalid, illegal or unenforceable, the remaining provisions remain in full force, and the parties shall replace the affected provision with a valid provision that most closely reflects its economic intent.

No waiver. No failure or delay by Actoreon in exercising any right is a waiver of that right, and no waiver is effective unless given in writing.

Entire agreement. The Agreement (including these Conditions) constitutes the entire agreement between the parties on its subject matter and supersedes all prior arrangements, understandings and representations.

Amendments. Actoreon may amend these Conditions from time to time. The version applicable to an Agreement is the version in force at the date the Agreement is concluded; the latest version is available on the Website.

Notices. Notices must be given in writing to the registered office or to info@actoreon.be, and to the Client at the address or email it last notified.

Language. These Conditions may be made available in Dutch, French and English. In the event of any discrepancy, and unless mandatory law provides otherwise, the Dutch-language version prevails.

B.22 Governing law and jurisdiction

These Conditions and any Agreement, and any dispute or claim (including non-contractual disputes) arising out of or in connection with them, are governed exclusively by Belgian law, to the exclusion of any rules on conflict of laws and of the United Nations Convention on Contracts for the International Sale of Goods (CISG).

All disputes shall be submitted to the exclusive jurisdiction of the courts competent for the registered office of Actoreon, namely the courts of the judicial district of East Flanders (Enterprise Court of Ghent), Belgium, without prejudice to Actoreon’s right to bring proceedings before any other court having jurisdiction.
